In order to access certain features of the Site, you must register to create a Member account ("Your Account") that may enable you to receive information from URBIQQ.com and to participate in certain Services on the Site such as Open Communication tools, ie. voting, notifications, messaging, social media sharing, etc. URBIQQ, LLC will use the information you provide in accordance with the our Privacy Policy .

By registering you represent and warrant that all information you provide during the registration process is current, complete and accurate to the best of your knowledge. You agree to maintain and promptly update your registration information on the Site so that it remains current, complete and accurate.

During the registration process, you may be required to choose an account identification and password. You will be solely responsible for all access to and use of this Site by anyone using your account identification and password credentials whether or not such access to and use of this Site is actually authorized by you, including without limitation, all communications and transmissions and all obligations (including, without limitation, financial obligations) incurred through such access or use. You may change, correct or remove certain information from your account by logging into your account at the Site and making the desired changes to your account information.

You are solely responsible for protecting the security and confidentiality of your account identification and password credentials for Your Account. We cannot and will not be liable for any loss or damage arising from your failure to safeguard your account. You shall immediately notifyURBIQQ, LLP via email at support@URBIQQ.com of any unauthorized use of your account identification or password credentials or any other breach or threatened breach of this Site's security.

By visiting our Site and accessing the Services we provide for you, either directly or indirectly, you represent and warrant to URBIQQ, LLC that you are at least 13 years old, you agree to use these Services only for the purposes intended as permitted by (a) the terms of this Agreement, (b) applicable laws, regulations, and (c) URBIQQ Community Guidelines or generally accepted online practices.

Wherein, you understand that:

• a. To access our Services, you may be required to provide certain information about yourself (such as identification, contact details, etc.) to become a member of the URBIQQ Community, as part of the registration process, or as part of your ability to use the certain Services. You agree that any information you provide will always be accurate, correct, and up to date. If you are accessing our Services through a third-party site (such as “Facebook”), you are consenting to have your third-party account credentials transmitted into your URBIQQ Community Member account. You shall only use third-party accounts owned by you and not by any other person or entity.


• b. You are responsible for maintaining the confidentiality of any login information associated with any account you use to access our Services. Accordingly, you are responsible for all activities that occur under your account.


• c. Accessing (or attempting to access) any of our Services by any means other than through the means we provide, is strictly prohibited. You specifically agree not to access (or attempt to access) any of our Services through any automated, unethical or unconventional means.


• d. Engaging in any activity that disrupts or interferes with our Services, including the servers and/or networks to which our Services are located or connected, is strictly prohibited.


• e. Attempting to copy, duplicate, reproduce, sell, trade, or resell our Services is strictly prohibited.


• f. You are solely responsible any consequences, losses, or damages that we may directly or indirectly incur or suffer due to any unauthorized activities conducted by you, as explained above, and may incur criminal or civil liability.


• g. We may provide various open communication tools on our Site, such as blog comments, blog posts, public chat, forums, message boards, newsgroups, product ratings and reviews, various social media Services, etc. You understand that generally we do not pre-screen or monitor the content posted by users of these various communication tools, which means that if you choose to use these tools to submit any type of content to our Site, then it is your personal responsibility to use these tools in a responsible and ethical manner. By posting information or otherwise using any open communication tools as mentioned, you agree that you will not upload, post, share, or otherwise distribute any content that:


• Is illegal, libelous, threatening, defamatory, obscene, pornographic, abusive, harassing, degrading, intimidating, fraudulent, deceptive, invasive, racist, or could give rise to any civil or criminal liability under U.S. or international law;
• Infringes the copyrights, patents, trademarks, service marks, trade secrets, or other proprietary rights of any person;
• Contains any type of unauthorized or unsolicited advertising;
• Impersonates any person or entity;
• Includes any bugs, viruses, worms, trap doors, Trojan horses or other harmful code or properties;
• Violates provisions of URBIQQ Community Guidelines.

We do not assume any liability for any content posted by you or any other 3rd party user of our Site. However, any content posted by you using any open communication tools on our Site, provided that it doesn't violate or infringe on any 3rd party copyrights or trademarks, becomes the property of URBIQQ, LLC, and as such, gives us a perpetual, irrevocable, worldwide, royalty-free, exclusive license to reproduce, modify, adapt, translate, publish, publicly display and/or distribute as we see fit. This only refers and applies to content posted via open communication tools as described.

You agree to indemnify and hold harmless URBIQQ, LLC and affiliates, and their directors, officers, managers, employees, donors, agents, and licensors, from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this User Agreement or the failure to fulfill any obligations relating to your account incurred by you or any other person using your account. We reserve the right to take over the exclusive defense of any claim for which we are entitled to indemnification under this User Agreement. In such event, you shall provide us with such cooperation as is reasonably requested by us.

URBIQQ, LLP may, without prior notice to you, immediately terminate the User Agreement or revoke any or all of your rights granted under this User Agreement.

If you breach this Agreement the above license will terminate automatically.

Except as otherwise provided elsewhere in this User Agreement, anything that you submit or post to the site and/or provide URBIQQ.com, including, without limitation, ideas, questions, reviews, comments, and suggestions (collectively, "Submissions") is and will be treated as non-confidential and nonproprietary, and by submitting or posting, you agree to irrevocably license the entry and all IP rights related thereto (excluding the moral rights such as authorship right) to URBIQQ, LLC without charge and URBIQQ, LLC shall have the non-exclusive, royalty-free (with the right to sublicense), worldwide, perpetual, irrevocable, and transferable right to use, copy, distribute, display, publish, sell, lease, transmit, adapt, create derivative works from such Submissions by any means and in any form. This license authorizes us to make your Submissions publicly available to the rest of the world and to let others do the same. You agree that this license includes the right for URBIQQ, LLC to provide, promote, and improve the Services and to make Submissions submitted to or through the Services available to other companies. Such additional uses by URBIQQ, LLC, or other companies, organizations or individuals, may be made with no compensation paid to you with respect to the Content that you submit, post, transmit or otherwise make available through the Services. All Submissions shall automatically become the sole and exclusive property of URBIQQ, LLC and shall not be returned to you and you agree not to raise any dispute in connection with any use of the Submissions by URBIQQ, LLC in the future. All Submissions must adhere to the provisions outlined in the in the URBIQQ Community Guidelines. We reserve the right to remove or modify Submissions for any reason, that we believe violates this User Agreement.

You represent and warrant that your Submissions, in whole or in part, are clear and free of any IP right infringement, disputes or third-party claims. URBIQQ, LLC assumes no liability for any misuse of copyright or any other rights of third parties by you. You undertake to defense for and indemnify the Sponsor against any losses caused due to the use of the entries for any purposes.

In addition to the rights applicable to any Submission, when you post comments or reviews to the site, you also grant URBIQQ.com the right to use the display name that you submit with any review, comment, or other Content, if any, in connection with such review, comment, or other content. You represent and warrant that you own or otherwise control all of the rights to the reviews, comments, and other Content that you post on this Site and that use of your reviews, comments, or other Content by URBIQQ, LLC will not infringe upon or violate the rights of any third party. You shall not use a false e-mail address, pretend to be someone other than yourself, or otherwise mislead URBIQQ, LLC or third parties as to the origin of any Submissions or Content. URBIQQ, LLC may, but shall not be obligated to remove or edit any Submissions (including comments or reviews) for any reason.

The foregoing license grant to URBIQQ, LLC does not affect your ownership of or right to grant additional non-exclusive licensees to the material in your Submissions, unless otherwise agreed in writing. You, not URBIQQ, LLC, remain solely responsible for all Submissions that you upload, post, email, transmit, or otherwise disseminate using, or in connection with, the Services, and you warrant that you possess all rights necessary to provide such content to URBIQQ, LLC and to grant URBIQQ, LLC the rights to use such information in connection with the Services and as otherwise provided herein.

You understand that all information publicly posted or privately transmitted through the Services is the sole responsibility of the person from which such content originated and that URBIQQ, LLC will not be liable for any errors or omissions in any such content. You understand that URBIQQ, LLC cannot guarantee the identity of any other users with whom you may interact in the course of using the Services. Additionally, URBIQQ, LLC cannot guarantee the authenticity of any data, which users may provide about themselves. You acknowledge that all Content and Submissions accessed by you using the Services is at your own risk and you will be solely responsible for any damage or loss to any party resulting therefrom.

URBIQQ, LLC does not vouch for the accuracy or credibility of any Submission, and does not take any responsibility or assume any liability for any actions you may take as a result of reading Submissions posted on the Site. Through your use of Open Communication tools, you may be exposed to content that you may find offensive, objectionable, harmful, inaccurate or deceptive. There may also be risks of dealing with underage persons, people acting under false pretense, international trade issues and foreign nationals. By using Open Communication tools, you assume all associated risks. Please report any concerns via email to support@urbiqq.com immediately.

URBIQQ, LLC has the right but not the obligation to monitor and edit or remove any activity or content. URBIQQ, LLC takes no responsibility and assumes no liability for any content posted by you or any third party.

URBIQQ, LLC attempts to be as accurate as possible. However, URBIQQ, LLC does not warrant that product descriptions or other content of this site are accurate, complete, reliable, current or error-free.

You are responsible for your use of the Services and for any Content you provide, including compliance with applicable laws, rules, regulations and URBIQQ Community Guidelines. You should only provide Content that you are comfortable sharing with others.

Any use or reliance on any Content or materials posted via the Services or obtained by you through the Services is at your own risk. We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Content or communications posted via the Services or endorse any opinions expressed via the Services. You understand that by using the Services, you may be exposed to Content that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. Please report any such information via email to support@urbiqq.com immediately or use the inappropriate flag on the Site. All Content is the sole responsibility of the person who originated such Content. We may not monitor or control the Content posted via the Services and, we cannot take responsibility for such Content.

If you want to use our Services for commercial purposes you must create a business account and agree to our Business Agreement .

The Services, and their Contents are intended solely for your personal, non-commercial use (except as specifically and expressly agreed in writing by URBIQQ, LLC in connection with a specific feature of the Service only) and may only be used in accordance with the terms of this Agreement. You may download or copy the Content for personal, non-commercial use only, provided that you maintain all copyright and other notices contained in such Content. You shall not copy or store any Content except for personal, non-commercial use unless you have prior written permission from URBIQQ, LLC, or from the copyright holder identified in such Content’s copyright notice. You shall not store any significant portion of any Content in any form.

When you provide information from your social media account, it can help enable us to do things like (1) give you exclusive content, (2) personalize your online experience with us within and outside our Services, (3) contact you through the social media service or directly by sending you the latest news, special offerings, and rewards, and (4) enable you to share your experience and content via social media Services. When you provide information about yourself to us through an application, through our Services, or on social media Services or other third party platforms, it may be publicly viewed by other members of these Services and we cannot prevent further use of the information by third parties.

You are solely responsible for your interactions with other Members of the URBIQQ Community. URBIQQ, LLP reserves the right, but has no obligation, to monitor disputes between you and other Members. Disputes that violate the basic tenants of the URBIQQ Community Guidelines could result in the immediate termination of your account without prior notice.

If at any time you would like to make us aware of a dispute you can email us at support@urbiqq.com. Please provide the specific of the dispute. If the dispute is a result of our URBIQQ Community Guidelines or other standard code of conduct behavior we will take appropriae actions.

URBIQQ, LLP may change or discontinue any aspect, service or feature of the Site at any time, including, but not limited to, content, hours of availability, and equipment needed for access or use.

We may display targeted ads and personalized content to you on the Site based on your user information and preferences. We also allow third parties to display advertisements on our Site. We may also provide third party users of our services with information about your usage of our Site and your preferences.

Some content or applications, including advertisements, on the Site are served by third parties, including analytic platforms, advertisers, ad networks and servers, content providers, application providers, and providers of products and Site listed on the Site. These third parties may use cookies, alone or in conjunction with web beacons or other tracking technologies, to collect information about you when you use our Site. They may use this information to provide you with interest-based (behavioral) advertising or other targeted content.

We do not control these third parties' tracking technologies or how they may be used. If you have any questions about an advertisement or other targeted content, you should contact the responsible provider directly.

In an attempt to provide enhanced value to our Community Members, URBIQQ, LLP may choose to provide various third-party web site links, as well as allowing Community Members to establish links (collectively, "Third-party Links”) from URBIQQ.com. However, even if the third party is affiliated with URBIQQ, LLP, we have no control over these linked sites, all of which have separate privacy, security, and data collection practice. URBIQQ, LLP has no responsibility or liability for these independent policies or actions and is not responsible for the privacy practices or the content of such Web Sites. These linked sites are only for your convenience and therefore you access them at your own risk. Third-party Links that violates provisions of URBIQQ Community Guidelines may be considered a breach of this User Agreement and could result in the immediate termination of your account without prior notice.

We or Partners may use "cookies" or similar technologies to associate certain of the Information with a unique identifier that then associates the Information with your device or browser.

Sometimes, we may associate cookies with the Information, including de-identified, "hashed," or anonymous versions of Information you have provided (such as during registration), in order to send or help send personalized ads and offers based on your presumed interests or demographic information.

We may combine any of the Information we collect, for any of the above purposes, and may sometimes enhance the Information with other information that we obtain from third party sources. Please also be aware, if you register and create a profile with our Service, the screen name you select as well as other content you submit to your profile (e.g., photos, comments, video, reviews) will be displayed publicly on the Service, is searchable, can be found by third parties and may be reused and redistributed by us in our sole discretion.

By visiting the Service, whether as a registered user or otherwise, you acknowledge, and agree that you are giving us your consent to track your activities and your use of the Service through the technologies described above, as well as similar technologies developed in the future, and that we may use such tracking technologies in the emails we send to you.

Our Partners and third parties may themselves set and access their own tracking technologies when you visit our Services and they may have access to information about you and your online activities over time and across different Sites or applications when you use the Service. Their use of such tracking technologies is not in our control and is subject to their own privacy policies.

This Service is governed by and operated in accordance with US law. If you are located outside of the US, you use this Service at your own risk. Your Information will be transferred to and processed in the United States where many of our central databases operate. By using this Service, you acknowledge that the data protection and other laws of other countries, such as the United States, may provide a less comprehensive or protective standard of protection than those in your country, and consent to your Information being collected, processed and transferred as set forth in this Privacy Policy and US law.

You agree that we may, at our sole discretion, suspend or terminate your access to all or part of our Site and Services without notice and for any reason, including, without limitation, breach of this User Agreement, if we believe that member’s conduct violates applicable law or is harmful toURBIQQ, LLP interests, violates the provisions of the URBIQQ Community Guidelines. Upon termination of your account, your right to access and use the Services and any Content will immediately cease.

Any suspected illegal, fraudulent or abusive activity may be grounds for terminating your relationship and may be referred to appropriate law enforcement authorities. Upon suspension or termination, your right to use the Services we provide will immediately cease, and we reserve the right to remove or delete any information that you may have on file with us, including any account or login information.

We will make reasonable efforts to notify you by the email address associated with your account or the next time you attempt to access your account, depending on the circumstances. In all such cases, the Terms shall terminate

You may terminate your use of the Services or your membership at any time.

Following termination or deactivation of your account, or if you remove any Submissions from URBIQQ.com, we may retain your Submissions for a commercially reasonable period of time for backup, archival, or audit purposes. Furthermore, URBIQQ.com and its users may retain and continue to use, store, display, reproduce, modify, create derivative works, perform, and distribute any of your Submissions that other users have stored or shared through URBIQQ.com.

URBIQQ, LLC reserves the right, at its sole discretion to modify the Site, Services and Terms, at any time and without prior notice. The most current version will always be posted on our Site. If a revision, in our sole discretion, is material we will notify you. By continuing to access or use the Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, please stop using the Services.

We endeavor to present the most recent, most accurate and most reliable information on the Site at all times. However, the information may contain typographical errors or inaccuracies and may not be complete or current. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change and update information at any time without prior notice (including after you have submitted your order). All content and materials available on URBIQQ.COM, including but not limited to text, graphics, Site name, code, images and logos are the intellectual property of URBIQQ, LLC, and are protected by applicable copyright and trademark law. Any inappropriate use, including but not limited to the reproduction, distribution, display or transmission of any content on this site is strictly prohibited, unless specifically authorized by URBIQQ, LLC.

This Site is controlled by URBIQQ, LLC from our offices located in the state of VA, United States. It can be accessed by most countries around the world. As each country has laws that may differ from those of VA, by accessing our Site, you agree that the statutes and laws of VA, without regard to the conflict of laws and the United Nations Convention on the International Sales of Goods, will apply to all matters relating to the use of this Site and the purchase of any products or Services through this site.

Furthermore, any action to enforce this User Agreement shall be brought in the federal or state courts located in United States, VA You hereby agree to personal jurisdiction by such courts, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

By using our Site, you understand and agree that all Services we provide are "as is" and "as available". This means that we do not represent or warrant to you that:

• b. the use of our Services will be uninterrupted, timely, secure or free from errors.

Furthermore, you understand and agree that:

• c. without limiting the generality of the foregoing, URBIQQ, LLC makes no representations or warranties regarding the accuracy of descriptions displayed anywhere on the Services, or regarding suggestions or recommendations of Services or products offered or purchased through the Services (including, without limitation, the actual size, quality, color, texture, or results of use of such products or Services). URBIQQ, LLC displays suggested retail prices for goods offered on URBIQQ.com based on pricing information provided by vendors, retailers, users and manufacturers, and we make no promises about the reliability or accuracy of any such information listed on the URBIQQ, LLC Site. Products and Services purchased (whether or not following such recommendations and suggestions) are provided “AS IS” without any warranty of any kind from URBIQQ, LLC or others unless, with respect to others (only), otherwise made expressly and unambiguously in writing by a designated third party for a specific product.
• d. your interactions with organizations and/or individuals found on or through the Services (including without limitation URBIQQ, LLC partners), including payment and delivery of goods or Services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. You agree that URBIQQ, LLC shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that URBIQQ, LLC is under no obligation to become involved.
• e. URBIQQ, LLC has no special relationship with or fiduciary duty to you. You acknowledge that URBIQQ, LLC has no control over, and no duty to take any action regarding: which users gain access to the Services; what Content you access via the Services (including, without limitation, viruses, malware, harmful code and user generated content); what effects the Content may have on you; how you may interpret or use the Content; or what actions you may take as a result of having been exposed to the Content.
• f. URBIQQ, LLC does not make any representations or warranties about any Site you may access through this Site. Any such Site is independent from URBIQQ, LLC, and URBIQQ, LLC has no control over, or responsibility with respect to, the information provided or activities undertaken by any such Site. A link between URBIQQ.com and another Site does not mean that URBIQQ, LLC endorses that Site. You need to make your own independent decisions regarding your interactions or communications with any other Site.

In conjunction with the Limitation of Warranties as explained above, you expressly understand and agree that any claim against us shall be limited to the amount you paid, if any, for use of products and/or Services. URBIQQ, LLC will not be liable for any direct, indirect, incidental, consequential or exemplary loss or damages which may be incurred by you as a result of using our Services, or as a result of any changes, data loss or corruption, cancellation, loss of access, or downtime to the full extent that applicable limitation of liability laws apply.

You agree to defend, indemnify and hold harmless URBIQQ, LLC, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of the Site by you or your Account. URBIQQ, LLC reserves the right to take over the exclusive defense of any claim for which we are entitled to indemnification. In such event, you shall provide URBIQQ, LLC with such cooperation as is reasonably requested by URBIQQ, LLC.

If you choose to visit our Site, your visit and any dispute over privacy is subject to this Notice and our Service of Agreement, including limitations on damages, resolution of disputes, and applicable law of the state of Virginia. If you have any concern about Terms of Services relating to our Site, please send an email to support@urbiqq.com with a description of your concern and we will try to remediate the concern.

Our business constantly changes, and our Privacy Policy and Terms of Service will change also. We may email periodic reminders of our policy and services, however, you should check our Site frequently to see recent changes. Unless stated otherwise, our current Privacy Policy applies to all information we have about you and your account.

If at any time you would like to unsubscribefrom receiving future emails, you can email us at support@urbiqq.com and we will promptly remove you from ALL correspondence.
